Terms of Service
Clean, fair, and transparent agreements. We transfer 100% intellectual property upon delivery and build relationships based on mutual trust.
Acceptance of Terms
By accessing our digital platforms, engaging our design and engineering consultancy services, or executing Statements of Work (SOWs) with Amoga Media Co., you agree to be bound by these Terms of Service.
If you are engaging on behalf of an enterprise or brand, you represent and warrant that you hold the full legal capacity to bind that organization to these terms.
Scope of Services & Deliverables
Amoga Media delivers bespoke digital product design, web engineering, brand identity systems, kinetic motion choreography, and high-performance Astro web applications.
Individual project milestones, revision quotas, sprint cycles, and acceptance criteria are formally specified in mutual Statements of Work (SOWs) and Master Services Agreements (MSAs).
Intellectual Property Ownership
Full Client Transfer: Upon receipt of complete and final settlement for contracted deliverables, all custom designs, Figma project files, source code repositories, and brand visuals become your exclusive intellectual property.
Agency Showcase Rights: Unless explicitly restricted by an NDA or mutual agreement, Amoga Media retains the right to present finished visuals and case studies across our studio portfolio and international award entries.
Billing, Deposits & Retainers
Project sprints typically require an initial commitment deposit prior to discovery kickoff, followed by verified milestone disbursements or scheduled monthly retainer cycles.
All invoices are payable in accordance with the payment terms outlined in the SOW (typically Net 15 or Net 30). Late payments may pause active development sprints.
Standards & Limitation of Liability
We engineer digital interfaces to world-class standards (60fps animation performance, full responsive accessibility, zero runtime errors).
Amoga Media is not liable for indirect, incidental, or consequential damages resulting from upstream hosting disruptions, domain registry failures, or external API modifications beyond our direct control.
Termination & Dispute Resolution
Either party may terminate an active engagement with 14 business days written notice, subject to payment for all approved sprint deliverables up to the effective termination date.
Any disputes arising from contracted work shall be resolved through good-faith executive mediation before pursuing formal arbitration.
